CONSTITUTION AND BY-LAWS OF THE RED RIVER VALLEY COIN CLUB
Revisions proposed at the 10/16/2012 meeting; Approved unanimously at the 12/04/2012 meeting.
This organization shall be known as the Red River Valley Coin Club, of Fargo and Moorhead.
Its goals shall be to encourage the collecting of coins and other items of numismatic interest as well as promoting numismatic education.
The business of the club shall be conducted at meetings according to Parliamentary Procedures.
Any person 16 years of age shall be eligible for regular membership, under 16 years of age for youth membership. Membership shall be renewed annually with dues paid in September or as soon thereafter as possible.
The Officers shall be a President, Vice President, Secretary, and Treasurer. Officer nominations and elections will be conducted annually (revised; see resolution 2 below). Any member is privileged to nominate another member for an office at the first meeting in September. The slate of officer nominees will be voted upon at the second September meeting.
The president shall preside at all meetings & supervise all matters of interest to the club, the Vice President shall act in the Presidents absence.
The Secretary shall record the minutes of the meeting, preserve all documents, handle general correspondence and keep an accurate list of members. The Secretary shall collect and record all membership dues.
The Treasurer shall keep an accurate record of the club’s financial transactions and conditions. Paying out no money without consent of the club. The Treasurer shall present a statement of all receipts, disbursements and financial conditions at the final business meeting of the year (April).
The club shall hold regular meetings twice a month. Special meetings may be called by the President as necessary.
The club shall maintain National affiliation through club membership with the ANA and CSNS.
The club shall enable members and visitors to exchange with other members and visitors, buy, trade, sell any part of their collections and hold auctions when the membership deems it timely. Club members are expected to behave in an ethical manner in all transactions and dealings.
This Constitution and By-Laws may be amended by a 3/4ths majority vote of all members present. No amendment may be voted upon at the same meeting proposed.
Resolution 1 (passed 1/22/13): The club secretary or the Treasurer can sign the Annual Domestic and Foreign Nonprofit Corporation Report, SFN 50879.
Resolution 2 (passed 9/17/13): The term of club officers will be amended to 2-years with the option to serve consecutive terms with the approval of the membership as designated every other year.
Resolution 3 (passed 4/03/18): Effective November 2017, coin dealers paying table fees for either the of the RRVCC hosted coin shows become de facto members of the club for the corresponding year (September 1 to August 31). In the event that table fees are paid by a business the owner of the business is considered the member.
Resolution 4 (passed 4/03/18): Club business requiring a motion and a vote will also require a quorum. A quorum is defined as a minumum of 10 members present at the meeting.
